HS&S Reaches Proposed $4.75 Million Securities Settlement in Helo v. Sema4 Holdings

Hurwitz Sagarin & Slossberg, together with lead counsel, has reached a proposed $4.75 million settlement in Helo v. Sema4 Holdings Corp., a securities class action pending in the U.S. District Court for the District of Connecticut. The proposed settlement was recently covered by Law360.

The case was brought on behalf of investors who purchased shares of the health diagnostics company, formerly known as Sema4 and now known as GeneDx Holdings Corp., during a period in 2022. The plaintiff alleged that the company misled shareholders about an artificial-intelligence-driven health data platform, known as Centrellis, which the complaint alleged did not exist in any operational, deployable form despite the company's representations about its capabilities.

The litigation was hard-fought over more than three years. After the court granted an initial motion to dismiss with leave to amend, the plaintiff filed a second amended complaint, and in June 2025 the court denied the defendants' motion to dismiss that pleading, allowing the claims to proceed. The parties then engaged in discovery and, following a mediation process, reached the proposed settlement now before the court.

The settlement remains subject to court approval. As part of that process, the class will receive notice and an opportunity to be heard before the court determines whether to grant final approval.
